MINUTES OF MACA ANNUAL MEMBERSHIP MEETING – 5/25/2015
Treasurer R. Messenger called the Annual Membership Meeting to order at 9:44 AM at the Best Western Hotel in Marlboro, site of the 84th Massachusetts Open. Eight people were in attendance: President Nathan Smolensky (arrived 9:45 AM), Treasurer Robert Messenger, Clerk Nicholas Sterling, two guests Ram Narasimhan and Rajanna Heggadahalli, and three Directors-elect Paul Arond, Jeff Caruso, and Stephen Dann. A quorum of thirty being required by the Bylaws, the meeting was inquorate.
President N. Smolensky took over the Meeting at 9:45 AM when he arrived.

Elections Commission: Edward Chiu (chair), Tiffany Wang, and Steve Frymer
Promotions: Chair Edward Chiu (not present) submitted a report detailing the accomplishments of the Promotions Committee over the past year. It was noted that this was the first year in which there had been Promotions Committee rather than simply a Promotions Coordinator.
Treasurer’s report was presented by R. Messenger. He explained that this was the first Annual Report with a fiscal year ending on 4/30 instead of 6/30. Therefore, the Report shows a previous Fiscal Year lasting 10 months, and a hypothetical Fiscal Year lasting 12 months to bring the numbers into properly balanced comparison between last year and the year before.
(i) (1) Net income of the General Fund year-to-date this year as of 4/30/15: $6412.98 net gain. (2) Net income of the General Fund year-to-date last year as of 4/30/14: $6775.98 (12-month hypothetical). (ii) (1) Special Fund income year-to-date this year as of 4/30/15: $3745.40, with $652.21 dividends. (2) Special Fund income year-to-date last year as of 4/30/14: $9688.06, with $742.75 dividends (12-month hypothetical). (iii) (1) Special Fund expenses year-to-date this year as of 4/30/15: $4679.71.
(2) Special Fund expenses year-to-date last year as of 4/30/14: $9658.17 (12-month hypothetical). (iv) (1) Special Fund net income year-to-date this year as of 4/30/15: $934.31 net loss. (2) Special Fund net income year-to-date last year as of 4/30/14: $29.89. (v) Changes in Fund Balances: Year-to-Date: $5478.67. (vi) Total Assets as of 4/30/15: $74838.62. (vii) Reserve for Chess Horizons Expenses: $5250. (viii) Unearned Tournament Revenue: $680.00.
Membership: R. Messenger presented the 5/20/15 Membership numbers as follows: Adults 223 (+10); Junior 430 (+15); Life 205 (-5); Affiliate 7 (+2); Complimentary 11 (+10); D. Library 5 (=); D. Subscriber 20 (-3); Exchange 16 (=); Library 1 (-1); Prison 310 (+23); Subscriber 9 (-6). Total change in Membership and Subscribers: +45.
President N. Smolensky adjourned the Annual Membership Meeting at 9:55 AM. The date, time, and place for the June Board Meeting still needed to be confirmed. [Clerk’s note: After the Meeting adjourned, a date, time, and place of June 7, 2015 at 5:00 PM at New England Sports Academy in Westwood, MA was tentatively set.]
